Terms of Service

These Terms of Service (“TOS”) are legally binding on all Clients of JT Innovations OPC,
including all of its divisions and subsidiaries (collectively “JTIO”).

1. Acceptance of Terms; Binding Agreement

The Terms of Service ("TOS") constitute a binding agreement between JTIO and you (The Client). The TOS apply to all services and products provided by JTIO, including the JT Starter Kit and Market Pro packages, related consulting, and support services (collectively, the “Services”).

By engaging with our Services—whether by submitting a purchase order, providing materials for project execution, or making payment—the client agree to be bound by these TOS. This agreement is binding from the moment the client accepts electronically, in writing, or by continuing to use our Services after being made aware of these TOS.

No additional terms or conditions set forth in the client's purchase order, or other correspondence, shall modify this agreement unless expressly agreed to in writing by both parties. Commencement or completion of Services by JTIO shall not be construed as acceptance of any alternate terms proposed by the client.

JTIO reserves the right to update these TOS at any time without prior notice. The most current version is always available on our website. By continuing to use our Services, the client agrees to the updated terms as if they had been signed by the client in writing. If the client expressly reject these TOS, JTIO reserves the right to refuse or terminate Services without liability.

2. Description of Services

JTIO provides professional web design and development services, specializing in Shopify solutions tailored to e-commerce businesses. Our services include, but are not limited to:

1. Custom and template-based web design through our JT Starter Kit and Market Pro packages.
2. Integration of essential e-commerce features, such as payment gateways, analytics, and inventory management.
3. Website updates, modifications, and maintenance services.
4. Advanced functionalities, including custom database integrations and enhanced user experiences.

The client is responsible for ensuring access to third-party tools or platforms required for certain features, which may incur additional fees. Access may require specific hardware, software, or subscriptions to function properly.

3. Electronic Delivery Policy

JTIO conducts its business and communications electronically. By accepting these TOS, the client consents to receiving all notices, updates, agreements, disclosures, or other communications (“Notices”) from JTIO electronically. Notices may be delivered:

1. To the email address the client provided at the time of purchase; or
2. To any new email account the client establishes through JTIO.

It is the client's responsibility to check these email addresses regularly. All Notices are considered delivered once sent, regardless of whether the client read or receive them.

4. Privacy Policy

Personal data and certain other information about the Client are subject to JTIO's Privacy Policy. For more information see the privacy policy at https://jtmedia.ph/pages/privacy-policy. By using JTIO's Services, the Client also agrees to the most current version of JTIO's Privacy Policy.

5. Confidential Information

The Client acknowledges that any ideas, suggestions, or feedback submitted to JTIO may be used by JTIO without compensation or liability for any purpose, including enhancing its Services and developing future projects. This provision does not apply to Client content or personal information protected under JTIO's Privacy Policy.

The Client grants JTIO permission to use samples or links to the Client’s website, designed or marketed by JTIO, for marketing purposes, including but not limited to showcasing the website in JTIO’s portfolio or on social media channels.

6. Call Monitoring and Recording Privacy Statement

In order to provide the best service possible, JTIO may monitor and record telephone calls to and from the Client. This includes archiving voicemail messages. Calls may be recorded for training, improving customer service, and ensuring an accurate record of Client communications, which may be necessary to support transactions. These actions are taken to enhance the quality of JTIO's services and better understand the Client's needs.

7. Unacceptable Practices

JTIO strives to maintain the highest standards for our services. Practices in violation of these standards are strictly prohibited and will result in immediate termination of services. Unacceptable practices include, but are not limited to:

1. Pornographic, sexually explicit, or offensive material
2. Harmful, abusive, or defamatory content
3. Distribution of harmful software or viruses
4. Gambling, illegal activities, or violations of intellectual property rights
5. Reselling JTIO services without authorization
6. Spamming, unsolicited messages, or pyramid schemes
7. Content that is harmful to minors or unlawful activities

As a JTIO Client, the Client agrees to conduct business in a legal and professional manner. The Client is solely responsible for all content, including data, images, text, and any other material on their website. JTIO will not be held liable for any legal issues arising from the Client’s business practices. JTIO reserves the right to terminate any account that violates the TOS. In such cases, the Client is not entitled to a full refund, and refunds will be subject to the Termination/Cancellation of Services Policy.

The Client may use editing tools to modify, add, or remove content from their website. JTIO does not pre-screen all content but reserves the right to refuse or remove content at its discretion. The Client assumes all risks associated with content, including its accuracy, legality, and completeness, and acknowledges that JTIO is not responsible for any issues related to the content provided or edited by the Client.

JTIO may access, preserve, and disclose the Client's account information and content if required by law or to protect the rights, safety, or property of JTIO, the Client, or others. This may include actions necessary to comply with legal processes or enforce the TOS.

8. Acceptable Use Policy

This Acceptable Use Policy (AUP) is incorporated by reference in the client's hosting services agreement with JTIO.

The client's services may be suspended or terminated for violation of this Acceptable Use Policy (“AUP”) in accordance with our Terms of Service (TOS).

Abuse
The client may not use JTIO’s services to engage in, foster, or promote illegal, abusive, or irresponsible behavior, including but not limited to:

1. Unauthorized access: Accessing or attempting to access data, systems, or networks without express authorization from the owner, including probing, scanning, or testing vulnerabilities or breaching security measures.
2. Unauthorized monitoring: Monitoring data or traffic on any network or system without the express consent of the owner.
3. Service interference: Interfering with or disrupting the services of JTIO or others, including mail bombing, flooding, deliberate overloading, or broadcast attacks.
4. Account misuse: Using an Internet account or computer without the owner’s authorization.
5. Data harvesting: Collecting or using email addresses, screen names, or other identifiers without the owner’s consent (e.g., phishing, Internet scams, password theft, spidering, or data harvesting).
6. Information misuse: Collecting or using information without the consent of its owner.
7. Deceptive practices: Using false, misleading, or deceptive TCP-IP packet header information in emails or postings.
8. Spyware distribution: Distributing software that covertly gathers or transmits user information.
9. Adware distribution: Using the service for distributing advertisement delivery software unless (i) the user clearly consents to the download and installation of the software, and (ii) the software can be easily removed with standard tools provided by major operating systems.
10. Retaliatory actions: Engaging in conduct that may result in retaliation against JTIO’s network, website, or personnel, including causing servers to become targets of denial-of-service (DoS) attacks.

Unsolicited Communications
The client may not use JTIO-designed Shopify websites or associated services to send unsolicited emails or communications to individuals who have expressed a desire not to receive them. For bulk communications, compliance with the 48-hour removal requirement, or similar applicable guidelines, is mandatory to avoid violations.

Vulnerability Testing
The client may not probe, scan, penetrate, or test the vulnerability of JTIO’s systems, networks, or Shopify websites, nor attempt to breach JTIO’s security or authentication measures by any means, whether passive or intrusive, without JTIO’s express written consent.

Forums, Groups, and Other Networks
When participating in bulletin boards, forums, or other networks (e.g., Shopify Communities, IRC, or social media groups), the client must adhere to the rules and conventions of those platforms. This includes avoiding:

1. Off-topic or irrelevant commercial postings.
2. Mass postings to multiple forums that violate their terms of service.
When accessing other networks through JTIO’s services, the client must comply with the rules of those networks.

Offensive or Prohibited Content
The client may not publish, transmit, or store content—or links to content—that JTIO reasonably believes:

1. Constitutes, depicts, fosters, or promotes illegal acts such as child exploitation, non-consensual acts, or violence.
2. Incites or threatens violence, contains hate speech, or harasses others.
3. Is deceptive or unfair under consumer protection laws, including chain letters or pyramid schemes.
4. Is defamatory, invades privacy, or compromises safety and security.
5. Discloses trade secrets or proprietary information without authorization.
6. Intends to circumvent copyright protections or infringes on intellectual property rights.
7. Promotes illegal drugs, gambling, arms trafficking, or violates export control laws.
8. Solicits or promotes illegal conduct, or is otherwise malicious, fraudulent, or harmful.

Content Scope
This policy applies to any content published or transmitted using JTIO’s services or platforms, including:

1. Shopify website content.
2. Emails, blogs, forums, and social media posts.
3. Any other transmissions relying on JTIO’s services or integrations with Shopify.
JTIO reserves the right to suspend or terminate services if content or actions are found to violate this AUP.

Copyrighted Material
The client may not use JTIO services, including Shopify websites and related resources, to download, publish, distribute, or otherwise use copyrighted materials unless:

1. The client has explicit authorization from the copyright owner to use the work in that manner; or
2. The use is otherwise permissible under established copyright law.
JTIO has a strict policy to suspend or terminate services, as appropriate, for clients found to be repeat infringers of copyright law.

Email Retention Policy
For email accounts hosted through JTIO-related services (if applicable), the following retention rules apply:

1. Emails in the inbox or personal folders marked as unread will be deleted after 90 days.
2. Read emails will be retained indefinitely, provided the mailbox does not exceed the allocated storage quota.
3. Emails in the trash folder will be automatically deleted after 30 days.
The client may monitor storage usage by accessing the email service dashboard.

Domain and IP Address Use
1. The client must maintain valid and current contact information with the domain registrar for any domain hosted through JTIO.
2. The client may only use IP addresses assigned by JTIO in connection with services provided by JTIO.
3. If the IP addresses assigned to the client’s account are listed on an abuse database (e.g., Spamhaus), the client will be in violation of this AUP. JTIO reserves the right to take reasonable actions to protect its resources, including service suspension or termination, regardless of whether the abuse listing resulted directly from the client’s actions.

Service Level Agreement (SLA)
No service credit or compensation under JTIO’s Service Level Agreement (SLA) will be provided for interruptions resulting from violations of this AUP.

9. Intellectual Property Policy

JTIO respects copyright laws and the intellectual property rights of others. JTIO may suspend or terminate services and/or accounts if copyright infringement is identified.

Use of Copyrighted or Trademarked Materials
1. JTIO will not use copyrighted or trademarked materials on the client’s Shopify website without the express written consent of the copyright or trademark owner.
2. It is the client’s responsibility to ensure that all content submitted to JTIO is original and free from third-party copyright or trademark protection. Alternatively, the client must obtain permission to use copyrighted or trademarked materials from the rightful owner.
3. The client assumes full liability for any infringement of third-party copyright or trademark rights due to content, design, or the look and feel of the client’s website.


Client Content
1. Content provided by the client to JTIO remains the intellectual property of the client.
2. JTIO does not guarantee the return of original content unless a written request is made at the time of submission. If no request is made, JTIO may dispose of the content after use. While JTIO will attempt to honor written requests, no liability is assumed for the return of original content.


Domain Names and Website Ownership
1. Domains purchased by JTIO and websites, including design, databases, and Shopify store setups, remain the property of JTIO until all fees, including one full year of monthly hosting, have been paid in full by the client.
2. After full payment, ownership of the design will be transferred to the client, while technology integrations and any proprietary JTIO tools used in the website may remain licensed.


Proprietary Designs and Technology
1. Shopify-based website templates, designs, or databases created by JTIO are proprietary unless explicitly customized for the client.
2. Custom websites developed by JTIO grant full ownership of the design to the client while any proprietary technology or integrations remain licensed to the client under the terms of this policy.

10. International Use

Recognizing the global nature of the Internet, the client agrees to comply with all applicable local rules regarding online conduct and acceptable content. Specifically, the client agrees to:

1. Adhere to all laws governing the transmission of technical data, including data exported from the United States or the country in which the client resides and/or conducts business.
2. Ensure that the content on their Shopify website complies with the relevant regulations of any country where the client’s services or website may be accessed.
Failure to comply with local laws and regulations may result in the suspension or termination of the client’s services with JTIO.

11. Website Construction Procedure

JTIO will work with the client to develop a Shopify website based on the client’s input and the content provided. Before construction begins, the client must submit all necessary content using JTIO’s designated content submission process. Access to this process will only be granted after the client electronically accepts JTIO’s Terms of Service (TOS).

Once the required content has been submitted, JTIO will begin the design and development of the website. If any content is missing, JTIO will notify the client prior to the website being launched. The client will have five (5) business days to submit the missing or incomplete content. If the client does not provide the necessary content within this timeframe, the website will be launched “as-is.” Pages that remain incomplete due to missing content may be saved and completed later, provided there is remaining design time available.

During the design process, the client may provide links to sample websites for general inspiration; however, JTIO will not replicate the functionality or design of these sample websites unless explicitly agreed upon in the proposal. Direct duplication of sample websites will not be permitted unless express written consent is obtained from the original website owner.

After the website design and content layout are completed, the draft will be presented to the client for approval. Once the client approves the website, it will be taken live. JTIO may perform a basic review of the text to correct any obvious errors before launch, but JTIO is not responsible for the accuracy, spelling, or typographical errors in content approved by the client. The client will be notified via email once the website is live.

JTIO does not guarantee a specific timeframe for website completion. Timely submission of content, approval of designs, and active participation from the client are essential to the project timeline. Delays caused by the client’s failure to provide content or respond promptly may result in an extended development period. If custom features such as advanced programming, e-commerce functionality, or database integrations are required, additional time will be necessary to complete the project.

As part of the service, JTIO may provide the client with a placeholder or temporary “welcome website” shortly after the initial agreement. This placeholder website is optional and can be modified by the client while the main website is under development. If the client declines this option, JTIO will not provide a temporary website.

The client is responsible for paying all fees associated with the project, including setup, enhancement, and monthly hosting charges, which begin from the date of sale, regardless of any delays caused by incomplete content submissions.

12. Progress Updates

JTIO will provide regular updates to the client regarding the development and testing of the Shopify website. These updates will occur on a mutually agreed schedule and will detail the tasks completed, any issues encountered, and recommended changes to the project.

JTIO will promptly notify the client via email, chat or phone if any events or issues arise that could cause significant delays in the website development process. This ensures transparency and allows the client to remain informed throughout the project’s progress.

13. Changes/Revisions

JTIO agrees to provide all services, including but not limited to the design and development of Shopify websites, in accordance with the specifications outlined in the original terms of sale. Any additions or changes to the services requested by the client that fall outside the agreed-upon scope of work will be billed at JTIO’s standard hourly rate of ₱1,000 per hour. The client agrees to pay all charges associated with such additions or changes.

JTIO is not obligated to accommodate requests for additions or changes that are outside the original scope of work. Should JTIO choose not to implement the client’s requested additions or changes, the client remains responsible for all fees incurred under the original agreement.

For website design, the client will be provided two (2) opportunities to make revisions to the proposed web design after receiving the initial concept designs. Additionally, the client will have two (2) opportunities to make changes to the proposed web functionality after all user and functional requirements have been reviewed and completed by JTIO.

14. Testing and Acceptance Procedures

JTIO will make a good faith effort to thoroughly test all deliverables and resolve any issues identified during testing before presenting the deliverables to the client. Upon receipt of the deliverables, the client will:

1. Accept the deliverables as completed and make the required milestone payment as outlined in the agreement; or
2. Provide JTIO with written or email notification of corrections needed, along with a reasonable and mutually agreed-upon date for completing the requested corrections.


To streamline communication and ensure efficiency, both JTIO and the client will designate a single representative responsible for sending, receiving, and approving all deliverables and communications. Neither JTIO nor the client is obligated to review or respond to communications or materials submitted by anyone other than the designated representative. Either party may change their designated representative with two (2) days’ written notice to the other.

15. Scope of Work

JTIO will facilitate the creation of all necessary change procedures with the Client to ensure a seamless and high-quality e-commerce website. Specifically, JTIO will ensure that the website's design and functionality are optimized for modern web standards and compatibility. This includes:

1. Conversion from PSD to HTML and CSS for precise implementation of the chosen design.
2. Ensuring the website functions flawlessly on the latest versions of major web browsers, including Chrome, Safari, Firefox, and Edge.
3. Verifying compatibility and responsiveness on mobile browsers for both iOS (iPhone/iPad, iOS 10 and above) and Android devices (4.x and above).


The result will be a professional and responsive Shopify-powered online store tailored to the Client’s needs and optimized for all major platforms.


JT Starter Kit Inclusions.


Description:
The JT Starter Kit provides an affordable solution for businesses, combining the power of Shopify with a professional and mobile-friendly design. This package is ideal for startups and small businesses entering the e-commerce space.

1. Store Setup and Customization
JTIO will create a fully functional Shopify store tailored to the client’s needs. This includes the selection and customization of a free Shopify theme, along with seamless integration of the client’s logo and branding elements.

2. Mobile-Optimized Design
The website is crafted with a responsive framework, automatically adjusting to fit a wide range of devices. This ensures optimal performance on desktops, tablets, and mobile devices. By leveraging Shopify’s built-in responsive design capabilities, the store delivers an intuitive and visually appealing shopping experience across all screen sizes. From intuitive navigation to seamless checkout processes, every element of the site is tailored for mobile usability, guaranteeing accessibility for modern shoppers.

3. Homepage and Collection Page Setup

A clean and engaging homepage layout designed to highlight key products and promotions.
Up to 5 collection pages (formerly "categories pages") for organized product display, helping customers easily browse through items.

4. Product Management

Assistance in uploading up to 20 products, including titles, descriptions, prices, and images.
The client will also receive guidance on how to add additional products independently.

5. Contact Page

A pre-designed page with a lead capture form, allowing customers to reach out directly through the website.

6. Basic SEO Setup
Integration of essential metadata to help the website rank better in search engines.

7. Payment Gateway Integration
Setup and configuration of payment gateways such as Maya, GCash, and other preferred options for seamless payment processing.

8. Basic Training and Documentation

A one-hour virtual training session on managing the Shopify store.

Additional Options

1. Custom Logo Design

The client may upload extra products independently or request additional uploads by JTIO at a cost of ₱2,500 per batch of 50 products.


3. Website Support

This includes resolving minor technical issues, performing up to five minor content updates monthly, and conducting regular performance and security checks for ₱5,000 per month. Any major updates or customizations beyond this scope will incur additional charges.

17. 30 Days Post-Launch Support

30 days of after-launch support to address any minor issues or adjustments needed to ensure the store runs smoothly after launch.

 

18. Contact Form Setup and Integrations

Creation of a contact form for customer inquiries, and integration of any necessary third-party plugins to support functionality, enhancing customer interaction with the store.

 

19. Additional Functionality/Design Changes (Optional)

The option to request additional functionality or design changes outside the initial scope for an additional cost, allowing flexibility in store features.

 

16. Client Approval

The client is responsible for testing and approving the functionality of all services, including but not limited to websites and marketing deliverables, upon JTIO’s notification of completion. This includes testing website pages, e-commerce stores, payment functions, and other related features. Once the client approves the services to go live, it is acknowledged that all functionality has been tested and accepted.

If the client fails to respond within five (5) business days after JTIO’s request for approval, the services will be deemed approved and taken live “as-is.” Likewise, if the client does not respond to requests for missing or incomplete information within five (5) business days after final notification, the services will be taken live with the missing content marked “as-is” or “under construction.”

17. Warranty Period and Website and Online Marketing Maintenance

JTIO will provide the client with technical support and assistance to maintain and update the website for a warranty period of sixty (30) days after the website is published on its final domain. During this period, up to two (3) hours of technical support will be provided at no additional charge. Any support exceeding the three-hour limit during the warranty period will be billed at ₱1,000 per hour.

After the warranty period, the client may opt for a separate maintenance agreement with JTIO for ongoing website updates and technical support. This agreement will include correcting errors, addressing any non-conformance to the original specifications, and providing updates or enhancements as needed, at an agreed-upon hourly rate. Any fees under the maintenance agreement will be billed accordingly. The warranty period does not include the development of new features or enhancements outside the original project scope.

18. Enhancements

If the client enters into a maintenance agreement with JTIO, the client agrees to provide JTIO the first opportunity to submit a bid or proposal for any modifications or enhancements to the website before soliciting or accepting proposals from other providers. 

 

19. Technical Support

JTIO’s technical support team can be reached at hello@jtmedia.ph for any concerns regarding email accounts, hosting, or functionality of the website after it goes live.

 

If the client uses JTIO’s technical support services, including but not limited to screen share sessions, the client acknowledges that JTIO does not guarantee that the technical support services will meet all client requirements or be entirely error-free. (Refer to Disclaimer of Warranties and Limitation of Liabilities.)

 

20. Updates and Design Time for Live Websites

Based on the client’s selected monthly website service package, JTIO provides 4 to 12 hours annually of complimentary updates and design time that can be used after the website goes live. These hours can be utilized for changes or updates to the website, such as modifications to the design or layout, which must be requested through hello@jtmedia.ph.

For changes that cannot be made using available online editing tools (depending on the website’s specifications and functionality), the client may allocate their design hours. Note that design hours cannot be applied to updates involving databases, custom programming, e-commerce, or advanced features, which must be purchased separately.

Any updates or changes exceeding the allocated design hours will be billed at JTIO’s standard hourly rate. Additionally, JTIO is not responsible for issues arising from changes made directly by the client. Any time required to repair such issues will also be billed at the standard hourly rate if it exceeds the available design time.

 

21. Enhancements

If the client enters into a maintenance agreement with JTIO, the client agrees to provide JTIO the first opportunity to submit a bid or proposal for any modifications or enhancements to the website before soliciting or accepting proposals from other providers.

 

22. Marketing Representations

JTIO does not make any guarantees or representations regarding the marketing performance of the client’s products, services, or sales. The client’s obligation to pay fees for website design, marketing, and hosting services is not dependent on the client’s marketing efforts or the performance of the website. All payments are due as agreed upon in the terms of sale. The client is solely responsible for all aspects of marketing their website.

 

23. Billing Policy

All prices quoted in the Client Agreement or Purchase Order are subject to this Agreement. Unless otherwise specified in writing by JTIO, prices do not include transportation, insurance, or any applicable Philippine taxes or duties, such as VAT, excise, sales, or similar charges. The client agrees to pay all applicable taxes, fees, or charges imposed by the Philippine government or any local authority. If JTIO is required to collect these charges, they will appear as separate items on the invoice and must be paid by the client.

 

The setup fee for services is billed in full upon the initial sale unless installment payments are expressly agreed upon in writing. Monthly fees for hosting and other services, including but not limited to internet marketing services, are billed and payable upon receipt of the invoice. The client authorizes JTIO to renew and charge monthly fees for hosting and internet marketing services every 30 days, unless canceled in writing after fulfilling the agreed initial term.

 

Details of the setup fee and monthly service fees are outlined in the original invoice. Monthly fees for hosting and marketing services may vary depending on the package selected. JTIO reserves the right to adjust prices at any time, including fees for hosting, internet marketing, and hourly design services.

 

JTIO accepts payments via bank transfer, check, credit card, or EFT debit from the client’s bank account. By authorizing a payment via credit card or EFT, the client consents to all recurring charges for monthly services and additional fees being processed through the same payment method until written notice of withdrawal is provided.

 

Clients wishing to change their payment method must notify JTIO at least 30 days in advance. For security purposes, new billing information should not be sent via email. Clients must contact JTIO’s billing department directly to update their payment details.

 

24. Termination/Cancellation of Services

JTIO may terminate its services and remove any content at its sole discretion, including but not limited to, cases of non-use or violations of the Terms of Service (TOS). JTIO may also discontinue services or any part thereof at any time, with or without prior notice. Upon termination, JTIO reserves the right to deactivate or delete the client’s account and all related files. The client agrees that JTIO will not be liable for any termination of services, and no refunds will be issued for paid accounts that are terminated. Accounts with unpaid balances exceeding 30 days may also be terminated. If JTIO discontinues the development of a client’s website, an appropriate refund may be issued, but under no circumstances will the refund exceed the total amount collected.

If the client cancels services before work is completed or the website is live, a cancellation fee will be applied per the Cancellation Fee and Refund Policy. All fees incurred and billed prior to cancellation remain due and payable by the client. Upon cancellation, services will cease, including the removal of any websites. JTIO does not maintain backup copies of canceled websites.

For monthly website contracts, the client acknowledges that early cancellation will result in charges for the full remaining term of the contract. For instance, if the client cancels an ongoing 24-month contract after 11 months, they will owe fees for the remaining 13 months. In such cases, the client agrees that they do not own the website and cannot retain or transfer it after cancellation.

The client is responsible for all hosting and additional service fees, including internet marketing services, from the time of sale until the cancellation date, with a minimum hosting fee requirement of one year. Simply transferring a domain or not using the hosting account does not constitute account termination. Written notice or an email must be sent to JTIO to officially terminate services and stop monthly hosting charges. The client must confirm receipt of the termination request with JTIO to ensure no further billing occurs.

Termination requests can be sent to hello@jtmedia.ph. For confirmation purposes, requests sent by email should also be accompanied by a mailed copy.
 

25. Cancellation Effective Date

The client may cancel services with 30 days’ written notice. The effective date of cancellation will be 30 days from JTIO's receipt of the written notice. Any monthly fees scheduled for billing after the notice is received but before the effective date remain valid, and the client agrees to pay these amounts. The client is required to pay for one year of hosting services, regardless of early cancellation.

If the client cancels a monthly website contract before the end of its specified term (e.g., a 24-month term), the client will be charged and must pay for the remaining months of the contract. For example, if the client cancels at the 11th month of a 24-month contract, they agree to pay for the remaining 13 months. In such cases, the client acknowledges they do not own the website and cannot retain or transfer it upon cancellation.

All outstanding fees for services must be paid in full at the time of cancellation. JTIO reserves the right to collect these fees in accordance with the Cancellation Fee and Refund Policy. Pending billing for design fee installments previously agreed upon will not be canceled.

26. Default, Cancellation and Refund Policy

In the event that the client is in breach or default of payment for services, the client shall be responsible for all reasonable costs and expenses incurred by JTIO in collecting any outstanding sums, including reasonable attorneys’ fees. JTIO may decline to render further services to the client without affecting its rights under this agreement. If JTIO elects to continue providing services despite such breach, it does not waive any of its legal remedies arising from the breach or default.

No refund will be provided for cancellations made "for convenience" within three (3) days after payment. However, the client may treat any advanced and processed payments as credits for future services or projects. JTIO will provide the client with the latest billing details upon cancellation to reflect the remaining balance for future services.

Cancellations made for reasons other than JTIO’s violation of the terms and conditions will be treated as a cancellation for convenience.

Minimum Cancellation Fee: The client agrees to pay a minimum cancellation fee of 25% on all cancelled accounts, even if no work has been started. This fee compensates JTIO for upfront expenses and services rendered, including domain name purchases, server space, employee expenses, marketing, and overhead costs.

Enhancement Sales: Once work begins on any enhancements purchased (e.g., databases, programming, logos, galleries, e-commerce stores), no refund will be issued, and a 100% cancellation fee will be retained by JTIO. If work has not started, a minimum cancellation fee of 50% will be retained for cancellations made within 60 days of the enhancement sale. No refund will be issued if the cancellation occurs after 60 days from the enhancement sale.

Monthly Hosting Fees: The client agrees that there is no refund for monthly hosting fees or monthly additional services fees, including Internet marketing services, incurred or paid prior to the cancellation date. All fees incurred and billed prior to the cancellation are valid, and the client agrees to pay them.

 

27. JTIO’s Proprietary Rights

Client acknowledges and agrees that JTIO’s services may contain proprietary and confidential information protected by intellectual property laws. The client agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of JTIO’s services or any proprietary or confidential information. JTIO does not provide direct access to any proprietary technology, either through File Transfer Protocol or other means.

 

28. Use of Client Information

Client agrees that any information or ideas submitted to JTIO by any means may be used by JTIO without compensation or liability to the Client for any purpose, including but not limited to, developing websites, databases, e-commerce, and other products. This provision does not apply to Client content or personal information that is protected under JTIO’s Privacy Policy.

Client grants JTIO permission to use samples or links to Client’s custom website designed by JTIO for marketing and advertising purposes, including but not limited to, use in JTIO’s online portfolio.

 

29. Third-Party Services

From time to time, third parties may offer services to JTIO’s clients. The use of such third-party services will be at Client’s own risk and subject to the terms and conditions of those third parties. Third-party services, including but not limited to payment gateways, third-party apps, and other integrations, are the responsibility of and shall be paid by Client to the chosen provider. JTIO does not represent or warrant that use or access to any third-party services will be compatible, uninterrupted, error-free, or that Client will be able to access JTIO’s services. Client also agrees that JTIO is under no obligation to provide Client with any enhancements, updates, or fixes to make JTIO’s services accessible through any third-party applications.

30. Contract Service Providers

JTIO may engage Contract Service Providers to complete a portion or all of the Client’s custom website and/or Services. The Client agrees not to conduct business directly with the Contract Service Provider or remit payment to the Contract Service Provider or any JTIO employee for services. All payments for services rendered must be made directly to JTIO. Contract Service Providers are required to enter into employment contracts and follow JTIO’s policies and procedures. They are provided with only the necessary information to complete the design or development portion of the Client’s Services and/or website and do not have access to Client’s personal information, including payment details.

 

31. Disclaimer of Warranties

CLIENT’S USE OF JTIO’S SERVICES IS AT CLIENT’S OWN RISK. JTIO’S SERVICES ARE PROVIDED “AS IS.” JTIO DISCLAIMS, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. JTIO MAKES NO WARRANTIES THAT ITS SERVICES WILL MEET CLIENT’S REQUIREMENTS, OR THAT THEY WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. JTIO ALSO DISCLAIMS ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USING ITS SERVICES, INCLUDING BUT NOT LIMITED TO SALES, WEB TRAFFIC, OR MARKETING OUTCOMES OF CLIENT’S PRODUCTS, SERVICES, OR WEBSITE.

JTIO DISCLAIMS ANY WARRANTIES REGARDING THE QUALITY OF PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED, ADVERTISED, OR OBTAINED THROUGH JTIO’S SERVICES, OR LINKS PROVIDED THROUGH JTIO’S SERVICES. THIS ALSO INCLUDES ANY INFORMATION OR ADVICE PROVIDED BY JTIO OR OBTAINED THROUGH LINKS PROVIDED VIA JTIO’S SERVICES.

CLIENT UNDERSTANDS AND AGREES THAT ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF JTIO’S SERVICES IS DONE AT CLIENT’S OWN RISK. CLIENT WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO CLIENT’S COMPUTER SYSTEM, LOSS OF DATA, OR OTHER LIABILITY THAT RESULTS FROM SUCH DOWNLOADS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH CASES, THE ABOVE EXCLUSIONS MAY NOT APPLY TO CLIENT.

 

32. Limitation of Liability

CLIENT UNDERSTANDS AND AGREES THAT JTIO, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, BUSINESS OPPORTUNITIES, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF JTIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). THIS LIMITATION OF LIABILITY APPLIES TO DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE JTIO’S SERVICES, RELIANCE ON JTIO’S SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF JTIO’S SERVICES (INCLUDING DAMAGES INCURRED BY THIRD PARTIES).

THIS LIMITATION ALSO APPLIES, WITHOUT LIMITATION, TO COSTS ASSOCIATED WITH THE PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES RESULTING FROM PRODUCTS OR SERVICES PURCHASED OR OBTAINED, UNAUTHORIZED ACCESS TO OR ALTERATION OF CLIENT’S DATA OR TRANSMISSIONS, OR ANY STATEMENTS OR ACTIONS OF THIRD PARTIES USING JTIO’S SERVICES. FURTHERMORE, JTIO SHALL NOT BE LIABLE FOR THE PERFORMANCE OR NON-PERFORMANCE OF SERVICES OR FOR INFORMATION OR LINKS THAT APPEAR ON, OR ARE CONNECTED IN ANY WAY TO, JTIO’S SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH CASES, THE ABOVE LIMITATIONS MAY NOT APPLY TO CLIENT.

WITHOUT LIMITING THE FOREGOING, JTIO SHALL NOT BE LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE CAUSED BY EVENTS BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO INTERNET FAILURES, COMPUTER OR TELECOMMUNICATION EQUIPMENT FAILURES, ELECTRICAL OUTAGES, STRIKES, LABOR DISPUTES, SHORTAGES OF LABOR OR MATERIALS, CIVIL DISTURBANCES, RIOTS, INSURRECTIONS, FIRES, FLOODS, STORMS, EARTHQUAKES, EXPLOSIONS, ACTS OF GOD, WAR, GOVERNMENTAL ACTIONS, OR ORDERS FROM DOMESTIC OR FOREIGN COURTS OR TRIBUNALS.

JTIO’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT PAID BY CLIENT TO JTIO FOR SERVICES RENDERED.

 

33. Tort Claims

The Client hereby waives all tort claims against JTIO, its affiliates, subsidiaries, officers, employees, contractors, and agents. The relationship between the Client and JTIO is strictly contractual in nature. The Client further agrees to waive any and all tort claims, whether arising from an act or omission by JTIO or its representatives, in connection with the Services provided under this Agreement.

34. Indemnification

The Client agrees to defend, indemnify, and hold harmless JTIO, its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including but not limited to reasonable attorneys’ fees, that may arise from any content submitted, posted, transmitted, or made available by the Client through JTIO’s Services; any product or service sold, offered, or provided by the Client, its agents, employees, or assigns; any Services provided, performed, or agreed to be performed by JTIO; or the Client’s violation of the Terms of Service or any rights of a third party, whether such rights arise by statute, contract, common law, or otherwise.

The Client further agrees to defend, indemnify, and hold harmless JTIO, its directors, officers, employees, contractors, and agents from and against any claims, expenses, or liabilities, including attorneys’ fees, that arise from or are related to any contracts, representations, agreements, or promises made between the Client and third parties, or the Client’s negligence or misconduct towards third parties.

This indemnification obligation shall survive the termination or expiration of this Agreement.

 

35. Unauthorized Use and Program Licenses

The Client agrees to indemnify, defend, and hold harmless JTIO, its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from any unauthorized use of materials, content, or programs for which the Client does not possess the rights or authority to use.

The Client shall be solely responsible for obtaining and paying any special licensing fees, royalty fees, or other costs that may result from the use of graphics, software, or programs requiring such payments. This obligation shall survive the termination or expiration of this Agreement.

 

36. Severability

In the event that any provision hereof is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the TOS shall remain valid and enforceable according to its terms.

 

37. Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines. All legal proceedings arising from or related to this Agreement shall be submitted exclusively to the jurisdiction of the competent courts located in Manila, Philippines. The Client agrees to waive any objections to the venue and jurisdiction of such courts.

 

38. Governance

JTIO may investigate any reported violations of this agreement, its policies or any other complaints and take any action it deems appropriate to protect its systems, facilities, Clients, and/or third parties.

 

39. Electronic Signatures

By checking the box and adding a virtual signature to the document, submitting content, making payment, or providing information or documents to JTIO for the purpose of performing services, the Client agrees that such actions constitute an electronic signature. This electronic signature is legally binding and has the same effect as a handwritten signature.

 

40. General Information

This Agreement constitutes the entire understanding and contract between the parties, superseding any and all prior oral or written agreements, including but not limited to any previous versions of the TOS. Any modifications to this Agreement must be made in writing and signed by an authorized representative of JTIO. Written agreements may include, but are not limited to, emails and electronic acceptance of this TOS. All representations not documented in writing are considered null and void.

 

41. CCPA Data Processing Addendum

This Data Processing Addendum (the "Addendum") reflects the requirements of the applicable data protection laws of the Philippines, including but not limited to the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations, as amended. Any terms defined in the Data Privacy Act, including personal data and processing, carry the same meaning in this Addendum. This Addendum applies, and forms part of the Terms of Service between JTIO and Client, if and to the extent Client is a business under the Data Privacy Act. This Addendum prevails over any conflicting terms in the Terms of Service.

JTIO and Client agree that, for purposes of the applicable data protection laws in the Philippines, JTIO is a service provider to Client. This Addendum governs the retention, use, or disclosure of personal data that is processed by JTIO on Client’s behalf or that Client otherwise discloses to JTIO for a legitimate business purpose. JTIO will not retain, use, or disclose any personal data processed on Client’s behalf or that is otherwise disclosed to JTIO for any purpose other than to perform the services for Client as specified in the Terms of Service and in any Client Agreement and/or Purchase Order, or as otherwise permitted by applicable data protection laws.

Client represents and warrants that it will comply with all requirements applicable to businesses under the Data Privacy Act when collecting, using, retaining, or disclosing personal data. For example, Client will provide notice to data subjects that personal data is being used by or shared with a service provider, consistent with the provisions of the Data Privacy Act. Client will also provide any other notices required by applicable data protection laws regarding the collection, use, retention, or disclosure of personal data, in the form and manner required by the Data Privacy Act, including with respect to any personal data collected by JTIO on Client’s behalf.

JTIO will provide reasonable cooperation and assistance to Client so that Client can meet its compliance obligations under the Data Privacy Act, including responding to verifiable data subject requests, taking into account the information processed by and available to JTIO. JTIO will promptly notify Client of any complaint, notice, or communication JTIO receives from a data subject relating to Client’s compliance obligations under the Data Privacy Act.
